FieldIntel Terms of Service

These Terms of Service ("Terms") govern access to and use of FieldIntel, the field reporting and intelligence platform provided by InfraPro (SL) Limited, a company registered in Sierra Leone (Company No. SL150526INFRA30204) with its registered office at 14 Cockerill South, Off Wilkinson Road, Freetown, Sierra Leone ("InfraPro", "we", "us").

By creating a FieldIntel account, starting a trial, or subscribing, you agree to these Terms on behalf of the organisation you represent (the "Customer", "you"). You confirm that you have authority to bind that organisation. If you do not agree, do not use FieldIntel.

1. The service

1.1 FieldIntel lets organisations collect field reports over WhatsApp and related channels, structures those reports (including with the assistance of artificial-intelligence systems), attaches evidence such as photographs and location data, and presents the results through dashboards, alerts, summaries, briefs and exports.

1.2 FieldIntel is an information and data-intelligence platform. It does not independently determine whether works meet engineering standards, comply with contractual specifications or applicable law, meet health and safety requirements, are of acceptable workmanship, or are complete. Where professional assessment is required, that assessment remains the responsibility of an appropriately qualified professional.

2. Accounts and users

2.1 You are responsible for the accuracy of your account information, for ensuring that only authorised users access your workspace, and for keeping credentials secure.

2.2 You will ensure that information submitted through FieldIntel is submitted in good faith and within your authority, and that your personnel use FieldIntel lawfully.

2.3 You will ensure that your field reporters and other users have been informed of, and where required have consented to, the processing of their personal data — including their WhatsApp numbers, messages, voice notes, photographs and location data — necessary to operate the service.

2.4 You will notify us promptly of any suspected unauthorised access or security incident.

3. Free trial

3.1 New workspaces receive a 14-day free trial. No payment card is required to start it.

3.2 When the trial ends without a subscription, access to the workspace is paused. Your data is retained and becomes available again when you subscribe. We may delete data from long-inactive unpaid workspaces after reasonable notice.

4. Subscriptions, fees and payment

4.1 Paid subscriptions are charged per site, per month or per year, at the prices published at fieldintelsl.com/pricing at the time of purchase, together with any seat add-ons you select. Published prices may change; changes apply from your next billing period.

4.2 Purchases are processed by Paddle, which acts as the merchant of record for orders placed through FieldIntel. Paddle handles payment, applicable taxes, invoicing, and payment-related customer service, and your purchase is also subject to Paddle's checkout terms. Taxes are calculated at checkout based on your location.

4.3 Subscription quantities (sites and seats) can be changed at any time; changes are prorated by the payment provider.

4.4 Subscriptions renew automatically at the end of each billing period until cancelled.

5. Cancellation and refunds

5.1 You may cancel at any time from within the application. Cancellation takes effect at the end of the period you have paid for, and access continues until then.

5.2 Except where required by law, fees are non-refundable and no partial-period refunds are given. Full details are in our Refund & Cancellation Policy, which forms part of these Terms.

6. Your data

6.1 You retain ownership of the data your organisation submits to or generates in FieldIntel, including reports, messages, photographs, location data and configuration ("Customer Data"). We process Customer Data to provide, maintain, secure and support the service, and we do not sell it.

6.2 You are responsible for having the rights and permissions needed to submit information, photographs and other materials through FieldIntel.

6.3 You may export your Customer Data during your subscription and, on reasonable request, following its end, subject to applicable technical and legal requirements. Our handling of personal data is described in the Privacy Policy, which forms part of these Terms.

7. Data protection and security

7.1 Each party will comply with data protection and privacy laws applicable to it, and handle personal data in accordance with recognised data-protection principles, including lawful and fair processing, data minimisation, appropriate security, confidentiality, restricted access, and appropriate retention and deletion.

7.2 We maintain appropriate technical and organisational measures designed to protect Customer Data against unauthorised access, loss, alteration or disclosure. The sub-processors we use are listed in the Privacy Policy.

8. AI-generated content

8.1 FieldIntel uses artificial-intelligence systems to transcribe, structure and summarise reports, to generate briefs, and to answer questions about your data. AI-generated content can contain errors or omissions.

8.2 The platform is designed so that reporters confirm or correct structured summaries before a report is saved, and evidence labels (such as photo-backed or claim-only) describe how a report was captured — they are not a warranty that its contents are true.

8.3 You remain responsible for reviewing FieldIntel outputs before relying on them for professional, contractual, financial or safety-related decisions.

9. Independent verification

9.1 Independent verification — reports confirmed through InfraPro's accredited network — is a separate assurance arrangement agreed programme by programme. It is not included in a self-serve subscription and is not purchased through the website. Where agreed, it is governed by a separate written agreement.

10. Acceptable use

10.1 You must not use FieldIntel unlawfully; to monitor individuals outside a legitimate work context or without the knowledge required by law; to submit content that is unlawful, infringing or malicious; to interfere with the service or its security; or to build or assist a substantially similar competing product. The Acceptable Use Policy forms part of these Terms.

11. Availability, support and third-party services

11.1 We use reasonable efforts to keep FieldIntel available and to provide support by email at contact@infraprosl.com, aiming to respond within one business day. Specific service-level commitments must be agreed separately in writing.

11.2 We may temporarily restrict access where reasonably necessary for maintenance, security, system integrity, investigation of suspected misuse, or compliance with legal requirements.

11.3 FieldIntel depends on third-party services, including the WhatsApp Business Platform (operated by Meta), cloud hosting, AI and messaging providers, and payment processing. We do not control these services and are not responsible for their acts, omissions or outages, but will use reasonable efforts to restore or work around any interruption they cause.

12. Intellectual property

12.1 All intellectual property rights in and relating to FieldIntel remain the property of InfraPro or its licensors, including its software and source code, database and system architecture, workflows, algorithms and processing methods, dashboard designs, reporting templates and brief formats, provenance and evidence-grading methodology, documentation and branding.

12.2 These Terms grant you only a limited, non-exclusive, non-transferable right to access and use FieldIntel for your organisation's internal business purposes during your trial or subscription.

12.3 You must not copy or reproduce FieldIntel, reverse engineer or decompile it, attempt to obtain its source code, reproduce its underlying architecture or workflows, or use FieldIntel or information obtained through it to develop a substantially similar competing product.

13. Confidentiality

13.1 Each party will keep the other's confidential information confidential and use it only for purposes connected with the service, disclosing it only with consent, to those who need it and are bound by confidentiality, or where required by law. These obligations continue for five years after your subscription ends.

14. Suspension and termination

14.1 If a subscription payment fails and remains unpaid, access may be suspended until payment is made, following notice.

14.2 Either party may terminate for a material breach not remedied within fourteen (14) days of written notice. We may suspend or terminate access where reasonably necessary to address a serious security threat, unlawful use, material misuse of the platform, or a legal or regulatory requirement.

14.3 On termination or expiry, your access ceases. Clause 6.3 governs data export; we may thereafter delete Customer Data in accordance with our retention practices and legal obligations.

15. Liability

15.1 FieldIntel supports project information management, monitoring and reporting. We are not responsible for professional, contractual or operational decisions made by you or any third party on the basis of FieldIntel information, nor for the accuracy, completeness or reliability of information submitted by users.

15.2 Neither party is liable for indirect, consequential, special or incidental losses, except where such limitation is prohibited by law.

15.3 Each party's total aggregate liability arising out of or in connection with these Terms is limited to the fees paid or payable by the Customer in the twelve (12) months preceding the event giving rise to the claim.

15.4 Clauses 15.2 and 15.3 do not apply to your payment obligations or to a breach of clause 12 (Intellectual property) or clause 13 (Confidentiality). Nothing in these Terms excludes or limits liability for fraud or any liability that cannot lawfully be excluded or limited.

16. Publicity

16.1 Neither party will use the other's name, logo or trademarks in public marketing material without prior written consent.

17. Changes to the service and these Terms

17.1 We improve FieldIntel continuously and may add, change or retire features, provided the service's core capability is not materially reduced during a paid period.

17.2 We may update these Terms. For material changes we will give reasonable advance notice (for example by email or in-app notice). Continued use after the effective date constitutes acceptance; if you do not agree, you may cancel under clause 5.

18. General

18.1 These Terms, together with the Privacy Policy, Refund & Cancellation Policy and Acceptable Use Policy, are the entire agreement between you and InfraPro for the self-serve FieldIntel service, and supersede prior discussions relating to it. Customers with a separately signed FieldIntel agreement are governed by that agreement where it conflicts with these Terms.

18.2 Amendments other than under clause 17 must be agreed in writing. A failure to exercise a right is not a waiver of it. If any provision is found invalid, the remainder continues in effect. You may not assign these Terms without our prior written consent. Notices to us must be sent to contact@infraprosl.com; notices to you may be sent to your account email.

18.3 Nothing in these Terms creates a partnership, joint venture, employment or agency relationship. Neither party is liable for failure or delay caused by circumstances beyond its reasonable control, including natural disasters, telecommunications failures, internet outages, government action, civil disturbance, war or strikes.

19. Governing law and disputes

19.1 These Terms are governed by the laws of Sierra Leone.

19.2 The parties will first attempt to resolve any dispute through good-faith discussions. Where a dispute cannot be resolved amicably, it shall be referred to the courts of Sierra Leone or an agreed dispute-resolution mechanism in Sierra Leone.
